Twelve questions for board directors, audit committee members and PE operating partners. Score each one 2 if it is documented and current, 1 if it is in progress, and 0 if it has not started. Three or more zeros means your board has a documented governance gap, not a theoretical one.

The questions test what a buyer’s counsel and an audit committee should both be able to verify: named owners, documented decision rights, board visibility into AI risk, and alignment with the obligations that apply to you. The scored version also lists the governance documentation a board should be able to produce on thirty days’ notice.
