AI Diligence Readiness Review: your AI governance, scored the way a buyer will score it

A buyer’s team will test whether your AI can be enumerated, evidenced and defended. This review does that work before they do, on your timeline, and leaves you with a scored position, a remediation plan and the documents a data room needs.

It is for PE-backed companies with an exit or recapitalization ahead, the operating partners preparing them, and sponsors assessing a target. Jay Hawkinson applies the full VTCDO AI Diligence Readiness Review himself.

What the review covers

  1. Kickoff and document request, built from the review’s evidence checklist.
  2. Interviews with system owners, the CFO, counsel and the sponsor.
  3. Evidence review across all six dimensions: inventory, investment and return evidence, decision accountability, governance and controls, operational resilience, and data and IP ownership.
  4. One reconstructed decision on each material system: who approved what, using which output, with what override rights, and the outcome.
  5. Scoring with written rationale, including the guardrail on decision accountability and data ownership.
  6. A readout with the sponsor or board.

What you leave with

Pre-exit review

  • A readiness verdict on the review’s four bands, from Not diligence-ready to Transaction-defensible

  • An executive summary a board or LP can read in two minutes

Buy-side review

  • A risk verdict on the target, from Low to High acquisition risk
  • The evidence to request in diligence
  • A risk tracker with the deal structure implication of each finding
  • An executive summary for the investment committee

Start with the free scorecard

The AI Exit Readiness Scorecard uses the same six dimensions, scale and bands, so you can see where you stand before you engage. The review tests the evidence behind each score; a self-score cannot do that. For a worked example, see the Meridian pre-exit review, a disclosed composite.

The review supports transaction preparation and operating design. It is not legal advice, an audit or a valuation. Disclosure duties and representations belong to your counsel. Questions: inquiry@hawksroost.com or (877) 417-1184.
